    Terms of Sale

    Last updated:

These terms of sale apply to all services provided by HelpYotek (the “agency”): website and application development, maintenance, SEO, online advertising campaigns and social media content. The agency's legal identity is given in the Legal Notice.

The accepted quote takes precedence over these terms for everything it specifies (scope, price, payment schedule, timeline).

    1. Quotes and orders

    • Quotes are free. A quote is valid for 15 days from the date it is sent, unless another period is stated on it.
    • The order is confirmed once the client accepts the quote (signature, or written agreement by email or message) and pays the first deposit.
    • Anything outside the scope of the quote (new page, new feature, extra content) is covered by an additional quote, accepted before the work is done.

    2. Prices, deposits and payment

    • Prices are those of the quote, in Algerian dinars (DZD) or in the currency stated on it. The applicable VAT treatment is shown on the quote and on invoices.
    • Payment follows the quote's schedule: a deposit with the order, possibly further deposits at project milestones (for example when the mock-up is approved), then the balance on delivery. Each deposit is invoiced; the final invoice deducts the deposits already invoiced.
    • Invoices are payable within 15 days of issue, unless another due date is stated on the invoice, by the methods shown on it (bank transfer, CCP…).
    • If a payment is late, the agency may suspend the work and postpone the launch and the handover of access until the amounts due are paid. Timelines are extended accordingly.
    • Third-party costs (domain name, hosting, licences, paid plugins, advertising budget paid to the platforms) are not part of the agency's fees, unless the quote says otherwise.

    3. Timelines

    • The delivery time is the one stated on the quote. It starts when the first deposit and the material needed for the project (texts, logo, photos, access) have been received.
    • Any delay in providing this material or in the client's approvals pushes the delivery date back by the same amount.

    4. Client's commitments

    • Provide accurate content to which the client holds the rights (texts, images, trademarks). The client remains responsible for it.
    • Appoint a contact person and answer approval requests within a reasonable time.
    • Provide the access needed (hosting, social media, ad accounts). The agency keeps it confidential and uses it only for the project.

    5. Revisions and approval

    • Once the work is finished, the agency presents it to the client. The client then has 10 days to send their revisions, in up to 3 rounds. A round = one list of changes sent at once.
    • Revisions cover what has been delivered within the scope of the quote (texts, colours, images, layout, adjustments). They do not include new features, pages or content, which require an additional quote.
    • If the client gives no feedback within 10 days of the presentation, or once the 3 rounds of revisions have been made, the work is deemed approved.

    6. Delivery and warranty

    • Delivery takes place when the website goes live or the application is handed over. The final launch and the handover of administrator access take place once the balance has been paid.
    • For 30 days after delivery, the agency fixes free of charge any defects (bugs) caused by its work.
    • The warranty does not cover changes made by the client or a third party, new requests, or outages of external services (host, platforms, plugins).
    • After the warranty period, fixes and changes are covered by a maintenance contract or a quote.

    7. Ownership

    • Once paid in full, the client owns the website or application: content, design made for the client and source code. Until then, it remains the agency's property.
    • The domain name and hosting are registered in the client's name.
    • Open-source libraries and tools used remain subject to their own licences.
    • The agency may show the project in its portfolio (screenshots, link) unless the client refuses in writing.

    8. Hosting, domain name and maintenance

    • Domain and hosting renewals are paid by the client, even when the agency handles the paperwork.
    • Maintenance (updates, backups, security, small changes) is a separate monthly or yearly service, described in its own quote.

    9. Online advertising and social media

    • The agency commits to the means set out in the quote (creating, setting up and monitoring campaigns, publishing). It cannot guarantee a number of sales, customers or views, which also depends on the product, the offer and the market.
    • The advertising budget paid to the platforms (Meta, Google) is separate from the agency's fees.
    • Campaigns follow the platforms' rules. The client guarantees that what is promoted is lawful; an ad rejected by a platform does not engage the agency's liability.
    • For content made from the client's media, the client guarantees holding the rights to that media.

    10. Stopping the project

    • The client may stop the project at any time, in writing (email or message).
    • Work already done is then invoiced pro rata to progress, based on the quote. If the deposits paid exceed that amount, the difference is refunded to the client; if they are lower, the client pays the difference.
    • The client receives the work completed and paid for.

    11. Liability

    • The agency is bound by an obligation of means. It is not liable for indirect damage (loss of revenue, data or reputation) or for outages of external services.
    • Its liability is limited to the amounts paid by the client for the service concerned.

    12. Personal data

Data provided by the client is used only to manage the business relationship and the project, as described in the Privacy Policy.

    13. Governing law and disputes

These terms are governed by Algerian law. In the event of a disagreement, the parties first seek an amicable solution; failing that, the dispute is brought before the competent courts of Algiers.
