These rules govern the HelpYotek referral partner program (the "agency"), presented on the Referral partners page. They supplement the Terms of Sale, which apply to the referred client's project. The agency's legal details are given in the Legal Notice.
By signing up for the program, the referral partner (the "partner") accepts these rules.
1. How it works
The partner recommends the agency to a business or person (the "referred client") who has a development project. If the project is carried out and paid for, the partner receives a commission and the referred client gets a discount on their development projects.
2. Signing up
- Signing up is free, with no commitment. It is open to adults and businesses.
- Each partner receives a personal code and access to their partner space. A person may hold only one account.
- The partner provides accurate details and keeps them up to date in their space, including their payout details.
3. Eligible projects
- Only development projects earn a commission: websites, online stores, web and mobile apps.
- Not included: ad campaigns, social media content, maintenance, hosting, domain names and any subscription.
- Only the referred client's first project counts. If a project combines development with other services, only the development part is taken into account.
4. Referral conditions
- The referred client enters the partner's code in their quote request.
- The referred client must not already be a client of the agency, nor already in touch with it about this project.
- If several codes are used for the same referred client, only the first one received counts.
- The project must start within the period shown on the Referral partners page, from the date of the quote request.
- The agency reviews each referral and may decline one that does not meet these conditions. The partner sees the decision in their space.
5. Commission amount
- The commission is a percentage of the project price excluding taxes, before the referred client's discount. Amounts refunded or cancelled by a credit note are deducted.
- The rate applied is the one shown on the Referral partners page on the date of the referred client's quote request. A later rate change, up or down, only applies to requests received after that change.
- When the rate depends on the amount (tiered rates), the rate of the tier reached applies to the whole amount.
- The amount of each commission is shown in the partner space.
6. Referred client's discount
The referred client gets the discount shown on the Referral partners page on the date of their quote request. It applies to their first development project and then, with no time limit, to every later development project they do with the agency, and appears on each of their quotes. Only the development part of a quote is discounted. The discount does not create a new commission: only the first project earns one.
7. Commission payout
- The commission is due once the project is delivered and the referred client has paid all of its invoices in full.
- It is paid within 30 days of the referred client's full payment, by one of the payout methods offered in the partner space, to the details the partner has saved there.
- The agency is not responsible for a delayed or lost payout caused by incomplete or incorrect details.
8. Abandoned, unpaid or refunded projects
- If the project is abandoned or not paid in full, no commission is due.
- If the agency refunds all or part of a project after the commission has been paid, it may ask the partner to return the corresponding share, or deduct it from a later commission.
9. Taxes
Commissions are paid without withholding. The partner alone is responsible for declaring them to the tax authorities, according to their situation. The agency may ask for the information it needs for its own accounting.
10. The partner's role
The partner acts independently: they are not an employee, sales agent or representative of the agency. They cannot commit the agency, in particular to a price, a deadline or a service. They present the agency fairly.
11. Prohibited practices
- Sending unsolicited bulk messages (emails, texts, direct messages) mentioning the agency.
- Presenting oneself as a member of the agency, or using its name, logo or brand in a paid ad or a domain name.
- Creating fake accounts, fake referred clients or fake requests, or posting fake reviews.
- In the event of fraud or breach of these rules, the agency may decline the commissions concerned and deactivate the partner's account.
12. Changes, pause and end of the program
- The agency may change these rules, the rate or the discount, pause the program or end it at any time. The new version applies to quote requests received after it is published.
- During a pause, the codes of partners already signed up remain valid, unless stated otherwise.
- Commissions already earned remain due in all cases, under the rules in force on the date of the referred client's quote request.
13. Closing the account
The partner may ask for their account to be closed at any time, by email. Commissions due for referrals already recorded are still paid.
14. Personal data
The partner's details are used only to track their referrals and pay their commissions. How they are processed and the partner's rights are described in the Privacy Policy.
15. Governing law and disputes
These rules are governed by Algerian law. In the event of a disagreement, the parties first seek an amicable solution; failing that, the dispute is brought before the competent courts of Algiers.
